What is a terms of use?

Terms of use for is an agreement between the owner and the user governing the behavior of the users. The terms of use allow the users to do certain things on the website, but also a list of prohibited behaviors. If the user does not follow the terms of use, the users account may be terminated. Is it necessary?

The terms of use are not a necessary agreement to have on all websites, however, it does provide the website owner power over the users. When the users agree to the terms of use, they must abide by the rules set out by the agreement. If the user does not comply, the owner can take actions, for example, terminated the users account or not processing the users sale.

Components in a terms of use

Introduction: Like most agreements, the terms of use should have an introduction of what the agreement is about.

Accessing the website: This section explains how users access the website including the registration or purchasing process if they apply. Additional information may be added about taking away access from the website.

Intellectual property rights: This section sets out the rights of the parties. That includes what parts of intellectual property is owned by the company. In addition, it will include the rights of the users, especially if the users will post their own content on the website.

Prohibited Uses: This section will list prohibited uses of the website. The list is generally a list of rules that the users must abide by while using the website.

User Contributions: This section is for websites that allow users to post their own content. Content can include reviews, images, or videos. There is also a license in this section that allows the website owner to use the content on their own website, monitoring rights and termination of the content if it violates the prohibited uses, and content standards stating what type of content is allowed.

Copyright infringement notices: This section has information required for DMCA takedowns. The company includes a contact for the users to reach out to if there is any copyright claims that are made by the users.

Reliance and changes to the website: This section explains that the users should not rely on the contents of the website. Users should use the information strictly at their own risk. In addition, the website may change from time to time as it is updated.

Other agreements and policies: This section should include other related website agreements and a link to the agreement. The statement explains when the user is agreeing with the terms of use, the user is also agreeing to the privacy policies and/or terms of sale when it is applicable.

Linking to and from the website: This section explains how to link to the website including where the website may be able to be linked from. In addition, the section also includes information that website may link to third party websites.

Warranties and limitations of liability: This section is a warranty relating to the contents of the website and a limitations of liability on issues if they arise relating to the use of the website.

Indemnities: Following the above, this section states the user will be liable for any first or third party claims relating to the user’s use of the website that creates liability for the website owner. Liability may arise from infringement of another persons rights when a user uploads content on the website.

Boilerplate: Most agreements have boilerplate clauses including governing law, arbitration, waiver and severability and entire agreement clauses.
